Present: Virgil Goodin, Randy Richards, Tom Priester, Louise Bolin, Marsha Goodin, and Art Schneider. 

Not Present:  Hazel Stone, Wanda Vonderahe (excused absence), Jeanne Pascale (excused absence) and Joyce Roach. 

Rev. Randy Richards opened the meeting with a prayer and also requesting healing for Virgil and for the husband of future board member Jackie Hickam whose husband currently requires continuous care. 

Virgil called the meeting to order at 2:40 p.m.

Old Business
Minutes from April board meeting: Three typo corrections were noted—Goodin misspelled under call to order section, “H” missing from “he” in second sentence third paragraph Treasurer’s report, and “B” missing in “be” under liability section.  Randy moved and Jeanne seconded minutes be accepted. Passed unanimously.


Treasurer’s report—.Tom reported $2514.06 in checking, $6.53 check savings interest and a total of $16041.81 in savings.

Cash expenses April —$1750.81 reported by Tom
Art moved and Jeanne seconded that the treasurer’s report be approved. Passed unanimously.

 

Short-term investment—Tom noted that with $16.000 in savings and future expenses being uncertain, he suggested the board approve short term CD investments. Questions were raised about penalties for early withdrawal. Six months interest is the penalty.  Tom said keeping some money in the savings and varying the amounts of CD investments would better assure a gain in interest income.

Tom moved the treasurer take out two six-month CDs for $3000 each, one $2000 CD for six months and three $2000 CDs for three months. That would keep slightly more than $2000 in savings and $14,000 in short-term investments. Art seconded; motion passed unanimously.

Donated food weight reported in April-Jeanne reported 3030.30 pounds.  This includes a donation of 1811.60 pounds by the Sedalia Wal-Mart. She also noted 12 dozen eggs were donated, but does not have the weight.

In addition, 16 families with a handicapping condition were served, 30 seniors at the village, and seven families with emergency needs served.

Recommended vehicle insurance liability and board liability insurance (Tom Million invited by Tom Priester) Tom Million distributed handouts on current insurance: personal property at the distribution center, 1998 truck, and general liability. He also distributed a handout on directors and officers insurance.

He discussed hired and non-owned liability insurance—would cover truck accident and need to hire a truck to deliver and pick up product.

He suggested the board set personal liability limits on those driving on NHN business and involved in an accident. He said the board could then decide what it would want to carry beyond that amount. He noted attorneys for those suing typically look for the deepest pockets (those having the most money). NHN business would be an individual or individuals acting under the direction of the pantry. 

He suggested personal vehicle liability limits of $100,000 per injury, $300,000 each accident, and $100,000 property damage.

He suggested general board liability insurance that protects board members against general liability, bodily injury or property damage. He also note wrongful acts insurance if board or officers of the corporation making inappropriate comments.

Board insurance would be $904 for $500,000 liability with $500 deductible. For employment practices the cost would be $1209 for $1 million and a $5000 deductible. He said workmen’s compensation insurance is enquired if an employer has five or more employees.

Defense costs are outside the liability limits discussed. Fees also are not taken from the liability insurance limits, but absorbed by the insurer.

In other business, Tom Million also suggested that the board require dual signatures on checks and that the person who deposits the checks be different from the person who writes the checks. Fidelity bonds covering embezzlement would cost about $150 for three years for $8000. To receive the bond the person would have to be found guilty in a court of law.

Board expressed appreciation for Tom Million’s attendance and explanation. After brief discussion Jeanne moved and Randy seconded that the board consider the information Tom Million presented and table the matter for a future meeting. Passed unanimously.

Exterminator Chemical and contract Update and chemicals used—Randy said he has provided the contract to Tom Priester and the cost is $30 every other month. Virgil; requested that the extermination process begin immediately. Randy will get the name of the chemical used for the board minutes
Local Schools--any food fundraisers?--Randy reported with end of school year, nothing is planned for this summer.

Update on Raymond Paxton and marathon--Art reported he contacted Raymond. Raymond is interested in doing a marathon for the pantry and will meet with the board at 4 p.m. for its June meeting.

Gas credit card status—Tom reported he has applied for a credit card with Casey’s, after the meeting he plans to stop at BP and secure an application and he will try to get to Love’s.

Update on new free computer program provided by Sedalia Open Door food pantry--Virgil said the computer still is not running. He has a resident who is computer fluent who will look at it.

Cross-training and records of where things are, people contacts. Art reported he dies not have “What if…” information from Tom or Virgil.

Distribution center perishable fruit issue and BDN truck pathway blockage –Virgil reported progress has been made. The pathway lockage has been removed and closer scrutiny is being given the fruit—including the offering of additional fruit to patrons when there is no immediate alternate user.

Fundraiser--Virgil said he will have details next month, but meantime these are tasks that need to be done:

Setting up at Country Mart
Set up spelling questions and sending letters to potential participants. Tim Fairley will help.
Food pick up
Advertising—Art volunteered for this. Involves news releases, flyers.
Entertainment

Post Office Food Drive—Virgil reported the pantry received over 2500 pounds of food and $70 in donations through the Post Office fund drive. This will be included in May food donation report.


Jackie Hickam—Art said Jackie’s husband has serious health problems requiring constant care and that at this time she would be unable to serve on the board at this time.

New Business
Barron Fuller Isle of Capri—Art contacted the Isle’ new general manager and invited him to consider serving on the board.  Barron was unable to make this meeting, but should be ale to make the next meeting. The potential board member requested a tour of the food distribution center and the opportunity to secure more information. Art will send minutes and the NHN URL to Barron. He also will send an e-mail to Barron and Virgil so Virgil can contact home and arrange for a tour and meeting.

Lorraine Hemphill request to donate a double sided freezer (age and dimensions unknown) to the food pantry.  Jeanne said she was contacted about a possible double sided freezer door donation. Virgil said a freezer is need up front at the center; Jeanne will contact Lorraine and set up the delivery with Marsha Goodin.

Contract with the City of Boonville—Tom said he received correspondence from the City of Boonville noting the city council had approved $4000 from gaming funds for the food pantry.

The city requires receipt of expenses in order for reimbursement to be made. Almost half that amount was expended in March by the food pantry.

T-Shirts—Marsha said the pantry has T-shirts available at $10 apiece. She also announced $70 in sales.

June meeting date changed: Virgil has a conflict on June 22 and board agreed to move next meeting date to 2:30 p.m. June 29.
