Mo-River.Net Articles of Incorporation (August 22, 1997)

As Amended (May 4, 1998)

The undersigned natural person(s)of the age eighteen years or more for the purpose of forming a corporation under the Nonprofit Corporation Law of Missouri adopt the following Articles of Incorporation:

(1) The name of the corporation is Mo-River.Net, Inc.

(2) The corporation is a Public Benefit Corporation.

(3) The period of the corporation is perpetual.

(4) The name and address of the Registered Agent and Registered Office in Missouri is:
        Art Schneider, 608 East Spring, Boonville, MO   65233-0239.

(5) The name(s) and address of each incorporator:

  • Bill Wood, 703 Sixth Street, Boonville, MO  65233
  • Ginger Wenger, 610 Weyland, Boonville, MO  65233
  • Art Schneider, 608 East Spring Street, Boonville, MO    65233

(6) The corporation has members:

(7) Upon dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c) (3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

(8) The corporation is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes the making of distributions to organizations that qualify as exempt organizations under section 501 (c) (3) of the Internal Revenue Code or any future tax code. Specifically, the corporation will supply public information and be an educational tool for the Community Information Network (CIN).

(9) The effective date of the document is the date it is filed by the Secretary of State of Missouri.

(10) Nothwithstanding any other provision of these articles, the corporation shall not carry on any activities not permitted to be carried on:

(a) by an organization exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code or the corresponding provision of any future federal tax code, or

(b) by a corporation, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code or the corresponding provision of any future federal tax code.
